Terms of Service
These Terms of Service ("Terms") are a contract between you and Syncetix, the operator of syncetix.com (the "Service"). By checking the acceptance box at signup, creating an account, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
These Terms incorporate the Data Processing Agreement by reference. Our Privacy Policy explains how we handle personal data. If you have signed a separate Master Services Agreement with Syncetix, that agreement controls where it conflicts with these Terms.
1. Who may use the Service
You may use the Service only if you are at least 18 years old, are using it for business purposes, and can form a binding contract. If you accept these Terms on behalf of a company, you confirm you have authority to bind that company, and "you" means that company.
2. What the Service is
Syncetix is a multi-tenant ecommerce hub. It imports supplier feeds, helps you create and manage listings on connected sales channels such as WooCommerce and eBay, syncs inventory and pricing, brings orders and tracking back, and provides bookkeeping and reporting tools. The Service depends on third-party platforms and supplier data we do not control, so we cannot promise that every sync will be complete, timely, or error-free.
3. Early access and pricing
The Service is currently free while in early access. We may introduce paid plans in the future. If we do, we will give you reasonable advance notice by email or in the app, and continued use of paid features after the notice period will require a subscription. Nothing you use for free today creates a right to free use later. When paid plans exist, billing and refunds will be handled as described in our Refund Policy.
4. Your account
- Provide accurate account information and keep it up to date.
- Keep your login credentials confidential. You are responsible for all activity under your account.
- Tell us promptly if you suspect unauthorized access to your account.
- One person or company per account unless we agree otherwise. You may add team members through the roles the Service provides.
5. Acceptable use
You agree not to:
- use the Service for anything unlawful, deceptive, or infringing;
- resell, sublicense, or provide the Service to third parties as your own offering;
- scrape, crawl, or bulk-extract data from the Service, or probe or overload our infrastructure;
- reverse engineer the Service except where the law allows it despite this clause;
- upload malware or content you do not have the right to use;
- interfere with other tenants' data or attempt to access accounts that are not yours.
Marketplace compliance is your responsibility. You are responsible for complying with the policies of every platform you connect - including WooCommerce host terms, eBay and other marketplace rules, dropshipping policies, listing content rules, tax obligations, and consumer protection law in the places you sell. Syncetix is a tool; it does not make your selling model compliant.
6. Data practices
What we collect
- Account data: your name, email address, and settings.
- Connection credentials: API keys and OAuth tokens for the stores, marketplaces, suppliers, and email accounts you connect. These are stored encrypted.
- Commerce data: product, inventory, pricing, order, and tracking data - including your buyers' names, addresses, and order details - processed so the Service can do its job.
How we use it
We use this data only to provide, secure, and support the Service. We do not sell it and we do not use your commerce data for advertising. For buyer personal data, you are the controller and Syncetix is your processor under the DPA, which forms part of these Terms. The Service is hosted in the European Union; our sub-processors are listed in the DPA.
Retention and deletion
When you close your account, your data is retained for 30 days and then permanently purged. During that window you can ask us to restore the account or to delete the data sooner. Some minimal records may be kept longer where the law requires it, as described in the Privacy Policy.
7. Third-party platforms
Syncetix is independent. We are not affiliated with, endorsed by, or responsible for WooCommerce, eBay, Amazon, your suppliers, or any other third party you connect. Your relationship with each platform is governed by that platform's own terms. We are not responsible for their decisions, outages, API changes, fees, listing removals, or account suspensions, even where the Service was involved in the underlying activity.
8. Your content and our software
You own your data. You give us a limited license to host and process it solely to provide the Service. We own the Service, its software, and its branding; these Terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing.
9. Disclaimer of warranties
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that synced data will always be accurate. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.
10. Limitation of liability
To the maximum extent the law allows, Syncetix will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data. In particular, we are not liable for losses caused by marketplace suspensions or penalties, supplier feed errors, mispriced or mis-stocked listings, or other sync-related outcomes, beyond the cap below.
Our total liability for all claims arising out of the Service is capped at the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) USD 100. Nothing in these Terms limits liability that cannot be limited by law, such as liability for willful misconduct.
11. Indemnification
You will defend and hold Syncetix harmless from claims, fines, and costs (including reasonable legal fees) arising from your products and listings, your violation of marketplace or supplier terms, your violation of law, or your breach of these Terms.
12. Termination
You can close your account at any time from the app or by contacting us. We may suspend or terminate your account with notice if you materially breach these Terms, create risk for the Service or other users, or if we discontinue the Service. On termination, your right to use the Service ends and your data is handled under the 30-day retention window in Section 6. Sections that by their nature should survive - including Sections 9 through 11 and 14 - survive termination.
13. Changes to these Terms
We may update these Terms as the Service evolves. For material changes we will notify you by email or in the app at least 14 days before they take effect. If you keep using the Service after that date, the updated Terms apply. If you do not agree, close your account before the changes take effect.
14. Governing law and disputes
These Terms are governed by the laws of [the operator's jurisdiction - to be confirmed]. Before either of us starts formal proceedings, we agree to try to resolve any dispute informally first: contact us with a description of the issue, and both sides will make a good-faith effort to settle it within 30 days.
